Legal terms and conditions governing the use of Guide Infinity's cottage automation services and website.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Guide Infinity Inc. ("Company," "we," "our," or "us") regarding your use of our website, services, and cottage automation solutions.

By accessing our website, engaging our services, or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Services Description

Guide Infinity provides cottage automation services including but not limited to:

  • Design, installation, and configuration of smart cottage systems
  • Security system installation and monitoring
  • Climate control and energy management solutions
  • Remote monitoring and alert services
  • Water system automation and protection
  • Smart lighting and electrical automation
  • Ongoing maintenance and technical support
  • Emergency response and repair services

Specific services will be detailed in individual service agreements or work orders executed between the parties.

Eligibility and Account Registration

Eligibility Requirements

To use our services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have legal authority to enter into binding agreements
  • Provide accurate and complete information
  • Own or have legal authority over the property where services will be provided

Account Responsibilities

If you create an account with us, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Providing accurate and up-to-date information

Service Terms and Conditions

Service Agreements

Specific services are governed by individual service agreements that will include:

  • Detailed scope of work and specifications
  • Project timeline and milestones
  • Pricing, payment terms, and additional costs
  • Warranty terms and limitations
  • Maintenance and support arrangements

Installation and Access

For installation services, you agree to:

  • Provide safe and reasonable access to your property
  • Ensure all necessary permits and approvals are obtained
  • Disclose any hazardous conditions or restrictions
  • Provide necessary utilities (power, internet, etc.)
  • Be present or designate an authorized representative during installation

System Operations

Once installed, you agree to:

  • Use systems only for their intended purposes
  • Follow all operating instructions and safety guidelines
  • Notify us promptly of any malfunctions or issues
  • Allow reasonable access for maintenance and repairs
  • Not modify systems without our prior written consent

Payment Terms

Pricing and Quotes

All pricing is in Canadian dollars unless otherwise specified. Quotes are valid for 30 days unless otherwise stated. Final pricing may vary based on:

  • Site-specific conditions discovered during installation
  • Changes in scope requested by the customer
  • Additional services or upgrades selected
  • Applicable taxes and fees

Payment Schedule

Unless otherwise agreed in writing:

  • 50% deposit required upon contract signing
  • Progress payments as specified in service agreement
  • Final payment due upon project completion
  • Monthly recurring fees for ongoing services

Late Payments

Late payments may result in:

  • Interest charges at 1.5% per month (18% annually)
  • Suspension of ongoing services
  • Collection activities and associated costs
  • Termination of service agreements

Warranties and Disclaimers

Limited Warranty

We provide a limited warranty covering:

  • Workmanship for 2 years from installation completion
  • System components as per manufacturer warranties
  • Proper system operation under normal use conditions

Warranty Exclusions

Warranties do not cover:

  • Damage from misuse, abuse, or negligence
  • Normal wear and tear
  • Damage from environmental factors (lightning, flooding, etc.)
  • Unauthorized modifications or repairs
  • Third-party software or services
  • Acts of God, war, or terrorism

Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount paid for services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for losses due to system downtime, data loss, or service interruptions
  • Our liability for property damage is limited to direct physical damage caused by our negligence

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or supplier failures.

Prohibited Uses

You may not use our services or website to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Interfere with our systems or other users
  • Collect personal information without consent
  • Engage in fraudulent or deceptive practices
  • Use systems for illegal surveillance or privacy violations

Intellectual Property

Our Rights

We retain all rights to:

  • Our proprietary software, algorithms, and technology
  • System designs, configurations, and documentation
  • Trademarks, logos, and brand materials
  • Website content and user interfaces

Limited License

We grant you a limited, non-exclusive license to use our systems and software solely for their intended purpose at your designated property.

Customer Data

You retain ownership of your personal and property data. We may use anonymized, aggregated data for service improvement and research purposes.

Privacy and Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.

Termination

Termination by Customer

You may terminate ongoing services with 30 days written notice. Installation contracts may be terminated subject to cancellation fees as specified in the service agreement.

Termination by Company

We may terminate services immediately for:

  • Non-payment after 30 days written notice
  • Breach of these Terms or service agreements
  • Illegal or harmful use of our services
  • Safety concerns or regulatory requirements

Effect of Termination

Upon termination:

  • All outstanding amounts become immediately due
  • Access to monitoring and support services ends
  • Installed equipment remains your property
  • Software licenses terminate
  • We may remotely disable certain features

Dispute Resolution

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Dispute Process

For any disputes:

  1. Direct Communication: Contact our customer service team first
  2. Mediation: Attempt resolution through mediation if direct communication fails
  3. Arbitration: Binding arbitration in Toronto, Ontario for disputes over $10,000
  4. Small Claims Court: Available for disputes under $35,000

Class Action Waiver

You agree to pursue disputes individually and waive participation in class actions or collective proceedings.

Modifications to Terms

We may update these Terms to reflect:

  • Changes in applicable laws or regulations
  • New services or features
  • Operational or business changes
  • Security or safety improvements

We will provide notice of material changes through:

  • Email notification to registered customers
  • Prominent website notices
  • Updates to the "Last Updated" date

Continued use of services after notice constitutes acceptance of updated Terms.

Severability and Entire Agreement

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between the parties and supersede all prior communications and agreements.
